Terms of service

Effective . These terms are entered into with VYZN Info Tech LLP, Ahmedabad, Gujarat, India (“Plio”, “we”, “us”).

These terms are written in plain language, and that is a drafting choice rather than a limit on their effect: they form a binding agreement between you and VYZN Info Tech LLP. Where you have signed a separate Enterprise agreement, order form or data processing agreement with us, that document governs to the extent of any inconsistency with these terms.

The agreement

These terms cover your use of Plio CRM. Whoever signs up accepts them for the organisation. If you are on an Enterprise contract, that contract wins wherever the two disagree.

Your account

You are responsible for who you invite and what role you give them. Keep credentials to yourself; a seat is for one named person. Tell us promptly if you think an account has been compromised.

Acceptable use

Do not use Plio to send unsolicited bulk mail, to store data you have no right to hold, to break the law, or to attack the service or other tenants. We may suspend an account that does, and we will tell you why.

Your data stays yours

You own the records you put in. We hold a licence to process them only so far as running the service requires. Our software, design and documentation stay ours.

Billing

Plans are charged per user per month in Indian rupees, monthly or annually in advance, exclusive of GST. Upgrades apply immediately and are prorated; downgrades take effect at the end of the current period.

Fees already paid are not refunded for a period you have started, including where you cancel partway through it or reduce seats — the plan simply runs to the end of that period. There are two exceptions: where we materially fail to provide the service and do not remedy that failure within a reasonable period after written notice, and where an amount has been billed in error. In each case we refund the affected amount. Billing queries should be raised with us within 60 days of the invoice date.

Invitations and trials

Access is by invitation while we onboard organisations in batches. An invited organisation may be given a trial period, with all features enabled and no card required; if it ends without a plan being chosen, the account pauses rather than being charged.

Cancellation

Cancel from Settings on any day. The plan runs to the end of the period you have paid for. Export what you need before then.

Availability and support

We will use commercially reasonable efforts to keep the service available, but no contractual uptime percentage or service credit regime applies to current plans; any such commitment must be agreed in a signed Enterprise agreement. Planned maintenance is announced in advance and scheduled outside Indian business hours wherever practicable. We may suspend the service without notice where necessary to address a security risk or to comply with a legal obligation, and will restore it as soon as reasonably possible.

Support is by email at support@pliocrm.com, Monday to Friday, 10:00–18:30 IST excluding public holidays in Gujarat. We aim to reply within one working day. That is a target we hold ourselves to rather than a guaranteed response time; where you need a contractual one, it belongs in an Enterprise agreement.

The SLA timers inside Plio — Urgent 4 hours, High 24 hours, Medium 72 hours, Low 7 days by default — measure your team against your customers, and are yours to reconfigure in Settings. They say nothing about our response times to you.

Warranties and disclaimers

We warrant that we will provide the service with reasonable care and skill, and that we have the right to grant you the rights described in these terms.

Beyond that, and to the maximum extent permitted by applicable law, the service is provided “as is” and “as available”, and we exclude all other warranties, conditions, representations and terms, whether express, implied or statutory — including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not warrant that the service will be uninterrupted, error-free or free of harmful components, or that it will meet your requirements or produce any particular commercial result.

Plio is a business tool, not professional advice. Outputs such as reports, forecasts and dashboard figures are derived from the data you enter and are your responsibility to verify before relying on them.

Limitation of liability

To the extent the law allows, neither party is liable to the other for indirect or consequential loss, or for lost profits, lost revenue, lost goodwill or lost or corrupted data, however it arises. Our total liability to you across all claims in any twelve-month period is capped at the fees you paid us in the twelve months before the claim arose.

These exclusions and the cap apply to the maximum extent permitted by applicable law, regardless of the form of action, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and apply even if a party has been advised of the possibility of the loss.

You are responsible for maintaining your own copies of data you would not want to lose. CSV export on every record module and PDF export from Reports are available to you at any time and at no additional charge.

Nothing here limits liability that cannot be limited by law, including liability for fraud, for wilful misconduct, or for death or personal injury caused by negligence.

Changes to these terms

We may amend these terms from time to time. Where a change is material we will give notice in-app, or by email to your account administrators, before it takes effect. Continuing to use Plio after a change takes effect constitutes acceptance of the amended terms; if you do not accept them, you may cancel under the Cancellation section above.

The effective date at the top of this page is the date of the current version.

General provisions

Entire agreement. These terms, together with any order form, Enterprise agreement or data processing agreement you have signed with us, constitute the entire agreement between the parties on this subject and supersede all prior discussions, proposals and representations, whether oral or written.

Severability. If any provision of these terms is held to be invalid, illegal or unenforceable, that provision is severed and the remainder continues in full force.

No waiver. A failure or delay in exercising a right under these terms is not a waiver of that right, and no single or partial exercise prevents any further exercise.

Assignment. You may not assign or transfer these terms without our prior written consent, which will not be unreasonably withheld. We may assign them to an affiliate or in connection with a merger, acquisition or sale of substantially all of our assets, on notice to you.

Force majeure. Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including network or power failure, acts of a third-party provider, natural disaster, epidemic, industrial action, war or act of government. This does not excuse an obligation to pay amounts already due.

Notices. Legal notices to us go to support@pliocrm.com and by post to VYZN Info Tech LLP, Ahmedabad, Gujarat, India. Notices to you are sent to the email addresses of your account administrators.

Relationship. Nothing in these terms creates a partnership, joint venture, agency or employment relationship between the parties.

Third parties. No person who is not a party to these terms has any right to enforce them.

Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them, including any non-contractual dispute or claim, are governed by and construed in accordance with the laws of India. The courts at Ahmedabad, Gujarat have exclusive jurisdiction, and each party submits to that jurisdiction.

Before commencing proceedings, each party will attempt in good faith to resolve the dispute by discussion between senior representatives, on written notice of the dispute and for a period of 30 days. This does not prevent either party from seeking urgent injunctive relief at any time.

Legal disclaimer

This page sets out the terms on which VYZN Info Tech LLP makes Plio CRM available. It is provided for information and does not constitute legal, tax, financial or regulatory advice, and it is not a substitute for advice from a qualified professional on your own circumstances.

Your use of Plio may be subject to obligations specific to you — sector regulation, data-protection duties owed to your own customers, records retention, or contractual commitments to third parties. Assessing and meeting those obligations is your responsibility, and you should take your own legal advice on them.

Where a translated version of these terms is provided for convenience, the English version governs in the event of any conflict.
